This is an English translation of our Dutch terms and conditions for convenience. In case of any discrepancy, the Dutch version prevails.
1. Definitions
In these terms and conditions, the following definitions apply:
JustPingIt B.V.: the private limited company
JustPingIt B.V., established in the Netherlands, which provides legal
services and advisory.
Client: any natural person or legal entity entering
into an agreement with JustPingIt B.V.
Agreement: any arrangement between JustPingIt B.V.
and the Client concerning legal services and/or advisory.
Third Party/Parties: external service providers
engaged by JustPingIt B.V., including independent legal experts and,
where applicable, advocates.
Services: all activities performed by or on behalf of
JustPingIt B.V., including advisory, document review and legal
analysis.
2. Applicability
2.1 These terms and conditions apply to all offers, quotations, engagements and agreements of JustPingIt B.V.
2.2 Deviations are only valid if confirmed in writing by JustPingIt B.V.
2.3 By providing an engagement, the Client accepts these terms.
3. Nature of the services
3.1 The services of JustPingIt B.V. consist exclusively of non-advocate legal services and advisory activities.
3.2 JustPingIt B.V. is not a law firm and does not provide services within the meaning of the Dutch Advocates Act (Advocatenwet).
3.3 This also applies where third parties engaged by JustPingIt B.V. hold the qualification of advocate.
3.4 Where advocates are engaged, they act solely as external service providers of JustPingIt B.V. within the engagement relationship with JustPingIt B.V., unless expressly agreed otherwise in writing with the Client.
3.5 No advocate-client relationship arises between the Client and any advocate engaged by us.
4. Performance of the engagement
4.1 JustPingIt B.V. performs engagements with the involvement of third parties.
4.2 JustPingIt B.V. has a best-efforts obligation only and no obligation of result.
4.3 JustPingIt B.V. may engage third parties without prior consent from the Client.
4.4 JustPingIt B.V. determines the manner of performance of the engagement at its own discretion.
5. Jurisdiction and foreign legal systems
5.1 JustPingIt B.V. advises exclusively on Dutch law.
5.2 To the extent foreign legal systems are mentioned or involved, this concerns only non-binding, general interpretations on a common-sense basis and without specialist comparative legal analysis.
6. Pricing and payment
6.1 All prices are agreed upon in advance.
6.2 Payment must be made in advance, unless otherwise agreed in writing.
6.3 In the event of late or incomplete payment, JustPingIt B.V. may suspend or terminate its work.
7. Refusal and termination of engagements
7.1 JustPingIt B.V. may refuse or terminate engagements, including after payment.
7.2 In the event of refusal or termination, only the amount paid will be refunded.
7.3 Any compensation for damages in this context is excluded.
8. Document size and readability
8.1 The document size referred to on the website or in quotations is calculated on the basis of a customary legal layout with a minimum font size of 10.
8.2 The size includes both the legal document to be reviewed and all documents, annexes and information provided by the Client.
9. Liability
9.1 JustPingIt B.V. is only liable for direct damages resulting from an attributable failure in the performance of our obligations.
9.2 Total liability is limited to the amount paid out in the relevant case by JustPingIt B.V.'s professional liability insurance, plus any applicable deductible.
9.3 If our insurer does not pay out, our liability is limited to the amount paid to JustPingIt B.V. for the relevant engagement.
9.4 JustPingIt B.V. is not liable for indirect damages, consequential loss, loss of profit or missed opportunities.
10. No fiduciary or special-trust relationship
10.1 The relationship between JustPingIt B.V. and the Client is contractual in nature only.
10.2 JustPingIt B.V. does not accept any fiduciary duty, special duty of care beyond the law, or trust relationship going beyond the agreed engagement.
11. Privacy and confidentiality
11.1 JustPingIt B.V. processes personal data in accordance with applicable legislation.
11.2 A separate privacy statement is available on JustPingIt B.V.'s website and forms an integral part of the information provided.
11.3 By entering into an agreement, the Client declares to have taken note of it.
11.4 We treat every document and/or request strictly confidentially. The legal experts we engage are bound by confidentiality and by strict internal procedures.
12. Liability of Third Parties
The Client shall not hold the Third Parties engaged by us liable, except in the event of fraud.
13. Restriction and carve-out for consumer law
13.1 If and to the extent the Client qualifies as a consumer within the meaning of articles 6:236 and 6:237 of the Dutch Civil Code, mandatory consumer law provisions remain fully applicable.
13.2 In the event of conflict between these terms and conditions and mandatory consumer law, mandatory law prevails.
13.3 If a provision is qualified as unreasonably onerous within the meaning of article 6:233 of the Dutch Civil Code, that provision shall be deemed to be replaced by a provision that approximates its intent as closely as possible.
14. Applicable law and disputes
14.1 All legal relationships are governed exclusively by Dutch law.
14.2 Disputes shall be submitted to the competent court in Amsterdam, the Netherlands.
15. Final provision
15.1 If any provision is null and void or voidable, the remaining provisions shall remain in force.
15.2 In that case, the parties shall agree on a replacement provision that approximates the original intent as closely as possible.
